1. Introduction

Welcome to Rock8.ai, an AI-powered outbound calling and automation platform operated by Pace Wisdom Solutions Pvt. Ltd. ("Pace Wisdom," "we," "us," or "our").

By accessing or using our website, platform, or related services ("Services"), you agree to comply with and be bound by these Terms & Conditions ("Terms"). If you do not agree with these Terms, please do not use our Services.

These Terms apply to all visitors, users, and entities who access or use Rock8.ai.

2. Definitions

• "Platform" refers to the Rock8.ai web application, APIs, dashboards, and related systems.
• "User" or "You" refers to any individual or entity accessing or using the Platform.
• "Account" refers to your registered user profile within the Rock8.ai system.
• "Content" refers to data, prompts, call scripts, configurations, and other material uploaded or created by the User.
• "AI Agents" refers to the voice or text automation modules created and managed through Rock8.ai.

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our Services.

By registering, you represent that:

• You are authorized to act on behalf of your organization (if applicable).
• All information provided is accurate and up to date.

4. Account Registration

To use Rock8.ai, you must create an account by providing your name, email address, company details, and contact information.

You are responsible for:

• Maintaining the confidentiality of your login credentials.
• Ensuring all activities under your account comply with these Terms.
• Immediately notifying us of any unauthorized use or security breach.

We reserve the right to suspend or terminate accounts found in violation of these Terms or involved in misuse or fraudulent activity.

5. Use of Services

You agree to use Rock8.ai solely for lawful business purposes and in accordance with these Terms.

You must not:

• Use the Platform to send spam, fraudulent, or unsolicited communications.
• Upload, share, or process data without proper consent or authorization.
• Reverse engineer, copy, or attempt to replicate the Platform or its AI models.
• Use the Platform for any activity violating applicable laws (including telecom, privacy, or data protection regulations).
• Interfere with or disrupt the security, functionality, or performance of our systems.

We reserve the right to monitor usage, suspend accounts, or restrict access if any misuse, abuse, or non-compliance is detected.

6. AI Calls and Recordings

Rock8.ai enables automated outbound calling and voice interactions using AI agents.

You acknowledge and agree that:

• Call data, metadata, and transcriptions may be processed for analytics and performance reporting.
• You are solely responsible for obtaining necessary consents from recipients before initiating automated or recorded calls.
• All communications must comply with applicable telecom, Do Not Disturb (DND), and privacy laws in your jurisdiction.
• Rock8.ai and Pace Wisdom are not liable for misuse of the calling or recording features by users.

7. Payments and Billing

Certain features require payment.

• Subscription fees, credit purchases, or usage charges are billed as per the pricing plan selected on Rock8.ai.
• Payments are processed securely through third-party gateways.
• All fees are non-refundable, except where required by law or explicitly stated.
• We may modify pricing or plans at any time with prior notice via email or on the website.
• Continued use of paid services after such notice constitutes acceptance of the new pricing.

8. Intellectual Property

All intellectual property rights in the Platform, including AI models, algorithms, code, trademarks, and designs, are owned exclusively by Pace Wisdom Solutions Pvt. Ltd.

Users retain ownership of their uploaded or generated content but grant Rock8.ai a limited, non-exclusive, royalty-free license to host, process, and analyze such content for service delivery and improvement.

You must not copy, modify, distribute, or create derivative works from the Platform or any related materials without prior written consent.

9. Data Privacy

Our use of your data is governed by our Privacy Policy, which forms an integral part of these Terms.

By using Rock8.ai, you consent to the collection and processing of your data as described in the Privacy Policy.

10. Third-Party Integrations

The Platform may integrate with third-party services such as telephony providers, CRMs, or analytics tools.

You acknowledge that:

• Rock8.ai is not responsible for the performance, availability, or data practices of such third-party services.
• Your use of these integrations is subject to their respective terms and privacy policies.

11. Service Availability

We strive to maintain uninterrupted access to our Platform; however:

• Temporary downtime may occur due to maintenance, updates, or technical issues.
• We are not liable for losses resulting from service interruptions, latency, or outages.
• We may modify, suspend, or discontinue parts of the Platform at any time, with or without notice.

12. Limitation of Liability

To the maximum extent permitted by law:

• Rock8.ai and Pace Wisdom shall not be liable for any indirect, incidental, or consequential damages (including lost profits, data loss, or reputational harm).
• Our total liability for any claim shall not exceed the total amount paid by you to Rock8.ai in the 3 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Pace Wisdom Solutions Pvt. Ltd., its directors, employees, and affiliates from any claims, damages, or liabilities arising from:

• Your misuse of the Platform or data,
• Violation of laws or third-party rights, or
• Breach of these Terms.

14. Termination

We may suspend or terminate your access to Rock8.ai at our discretion if you:

• Breach these Terms,
• Engage in unauthorized or illegal use of the Platform, or
• Fail to pay any due fees.

Upon termination, your right to access or use the Platform ceases immediately. Data associated with your account may be deleted in accordance with our retention policy.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India.

Any dispute shall be subject to the exclusive jurisdiction of courts in Bengaluru, Karnataka, India.

16. Changes to Terms

We may update or modify these Terms from time to time. The updated version will be posted on this page with the new effective date.

Continued use of the Platform after such updates constitutes your acceptance of the revised Terms.
